These Terms of Use (“Terms”) govern your access to and use of University of Awakening, including our website, content, forms, checkout systems, sessions, memberships, group offerings, member profiles, private membership areas, digital materials, communications, and related services.

By using the website, submitting information, purchasing anything, creating an account, joining a membership, participating in a group, or accessing any University of Awakening service, you agree to these Terms.

If you do not agree, do not use the website or services.

Eligibility

You must be at least 18 years old to use the website, purchase services, create a member profile, join a membership, or participate in paid groups unless we provide written permission and any legally required parent/guardian consent is obtained.

By using the website or purchasing services, you represent that you are legally able to enter into a binding agreement.

Nature of Services

University of Awakening may provide educational, spiritual, self-development, worldview, personal-growth, membership, group, private community, session-based, and related content or services.

Unless expressly stated otherwise, our content and services are for educational, informational, reflective, community, and personal-growth purposes only.

University of Awakening does not provide medical, psychological, psychiatric, crisis, legal, financial, tax, investment, or other licensed professional advice unless separately stated in a written agreement signed by a properly licensed professional.

You are responsible for your own choices, actions, interpretation, participation, and results.

No Emergency or Crisis Services

University of Awakening is not an emergency, crisis, medical, psychiatric, or suicide-prevention service.

If you believe you may harm yourself or someone else, or if you are experiencing a medical or mental health emergency, call emergency services immediately or contact a qualified crisis resource in your area.

Do not use our forms, memberships, groups, comments, messages, or sessions for emergencies.

No Guaranteed Results

We do not guarantee any particular result, transformation, outcome, business result, emotional result, spiritual result, relationship result, financial result, healing result, professional result, or personal breakthrough.

Testimonials, examples, stories, or experiences are not guarantees that you will experience the same or similar results.

Your results depend on many factors, including your own effort, context, choices, background, participation, timing, and circumstances.

Accounts and Member Profiles

If you create an account, member profile, or group membership, you agree to provide accurate information and keep it updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You may not share, sell, transfer, sublicense, or provide your account access to another person unless we give written permission.

We may suspend, limit, or terminate accounts that violate these Terms, Community Guidelines, payment requirements, or applicable law.

Memberships and Group Access

University of Awakening may offer monthly membership groups, private community access, group sessions, member profiles, content libraries, discussions, events, or related access.

Membership access is provided only for the paid membership period. A paid month grants access for that billing period only. Failure to use the membership, attend sessions, participate in groups, view materials, complete activities, or access content does not create a right to refund, credit, rollover, extension, transfer, or compensation unless we choose otherwise in writing or applicable law requires otherwise.

We may change membership features, group formats, session times, community structure, benefits, content, or access methods at any time, provided that we do not intentionally deprive paid members of the core access purchased for the applicable billing period without a reasonable substitute, credit, or remedy where legally required.

Recorded Group Sessions and Consent

Some University of Awakening group sessions, monthly memberships, workshops, calls, trainings, meetings, or events may be recorded.

By registering for, purchasing, joining, remaining in, or participating in a recorded session, you agree that University of Awakening may record the session and may capture your name, voice, image, likeness, chat messages, questions, comments, and participation.

Recordings may be used for member replay access, participant access, internal review, service improvement, moderation, recordkeeping, educational purposes within the applicable program, and legal or policy enforcement.

If you do not want to be recorded, do not attend or participate in recorded sessions. You may also turn off your camera, avoid speaking, avoid using chat, and contact us before the session to ask whether any non-recorded option is available. University of Awakening is not required to provide a non-recorded alternative unless required by law or agreed in writing.

You may not record, screenshot, download, copy, publish, distribute, share, sell, or repost any group session, member content, chat, replay, community material, or private membership content without written permission from University of Awakening and any required participant consent.

Payments

You agree to pay all fees shown at checkout or otherwise agreed in writing.

Prices may change at any time. Price changes do not apply retroactively to completed purchases unless required by law or expressly stated.

Payments may be processed by third-party providers such as Stripe, PayPal, or other payment processors. You agree to comply with their applicable terms and payment requirements.

We may refuse, cancel, pause, suspend, or revoke access if payment is declined, reversed, disputed, charged back, refunded, flagged for fraud, or not completed.

Subscriptions and Recurring Billing

If you purchase a subscription, membership, or recurring plan, you authorize recurring charges at the interval and amount disclosed at checkout until canceled according to the cancellation terms.

You are responsible for canceling before the next billing date if you do not want to be charged again.

Cancellation stops future billing only. Cancellation does not automatically refund amounts already paid unless required by law or expressly approved by us in writing.

If your payment method fails, we or the payment processor may retry payment, suspend access, terminate access, or request updated billing information.

Final Sale and Refund Policy

All purchases are final unless we expressly approve a refund in writing or applicable law requires otherwise.

This includes, without limitation:

individual sessions;
session packages;
monthly memberships;
group memberships;
private community access;
digital products;
courses;
workshops;
events;
paid content;
payment plans;
subscriptions;
any other paid University of Awakening offering.

No purchase includes a guaranteed, automatic, instant, or unconditional refund.

Refund requests, if any, are reviewed individually by the owner or authorized decision-maker based on the specific context. Approval or denial is at our sole discretion except where applicable law requires a different result.

You agree that failing to attend a session, failing to schedule a session, failing to use purchased sessions, failing to participate in a group, failing to access a membership, forgetting to cancel, changing your mind, not achieving a desired result, or not using the service does not entitle you to a refund, credit, extension, transfer, or rollover unless we expressly agree in writing or applicable law requires otherwise.

Each monthly membership payment is payment for that billing period. Once a monthly payment is processed, that month is final and non-refundable unless we expressly approve otherwise in writing or applicable law requires otherwise.

We may, in our discretion, offer a credit, extension, reschedule, partial refund, full refund, or other accommodation. Offering an accommodation in one case does not require us to do so in any other case.

Chargebacks and Payment Disputes

If you believe there is a billing issue, you agree to contact us first at [email protected] so we can review the matter.

Improper, false, abusive, or bad-faith chargebacks may result in suspension or termination of access, cancellation of memberships, refusal of future service, collection efforts, or recovery of fees and costs where permitted by law.

We reserve the right to provide payment processors with records showing your purchase, account access, membership access, checkout agreement, refund policy acceptance, service delivery, communications, and usage history.

Scheduling, Missed Sessions, and Non-Use

If sessions, calls, group meetings, or appointments are included, scheduling rules may be posted separately or communicated by email.

Unless stated otherwise in writing:

missed sessions are not automatically refundable;
unused sessions do not automatically roll over;
late arrivals may shorten the available session time;
failure to schedule or attend does not create a refund right;
rescheduling may be limited;
no-shows may count as used sessions.

We may make exceptions at our discretion, but exceptions do not create a policy, promise, or obligation for future cases.

User Submissions, Private Member Content, and Profile Information

University of Awakening does not currently provide public user-generated content areas for users to freely publish content to the general public.

However, you may be able to submit information, comments, questions, profile details, messages, forms, chat comments, group participation, or other content in private or limited-access areas of the website or services.

“User Submissions” means anything you submit, post, upload, display, transmit, speak, type, or share through forms, member profiles, private groups, communities, comments, chats, recorded sessions, messages, or other interactive features.

You retain ownership of your User Submissions, but you grant University of Awakening a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, moderate, remove, review, transmit, and use your User Submissions as reasonably necessary to operate, provide, protect, improve, and document the website, memberships, groups, sessions, and services.

You represent that you have the right to submit your User Submissions and that your submissions do not violate another person’s rights, privacy, confidentiality, intellectual property, or applicable law.

We may remove, restrict, hide, refuse, or moderate User Submissions at any time.

Community Guidelines

University of Awakening groups, memberships, profiles, and private community areas are private or limited-access environments. They are not public forums.

Members may not copy, record, screenshot, download, distribute, publish, quote, identify, expose, or share another member’s participation, statements, profile information, personal story, image, voice, chat messages, or private group activity without permission.

What is shared inside a University of Awakening private group or membership area must remain inside that space unless University of Awakening gives written permission or disclosure is required by law.

You may not:

harass, threaten, abuse, stalk, shame, intimidate, exploit, or bully others;
post hate speech, slurs, or discriminatory content;
disclose another person’s private information without consent;
record, screenshot, download, copy, publish, or distribute private group content without permission;
impersonate another person;
misrepresent your identity, credentials, affiliation, or experience;
give medical, legal, financial, psychiatric, or other licensed professional advice unless you are properly licensed and authorized;
promote self-harm, violence, exploitation, abuse, or illegal conduct;
sexually exploit, groom, manipulate, or target vulnerable people;
spam, solicit, advertise, recruit, sell, or self-promote without permission;
derail, sabotage, or disrupt group participation;
post malware, phishing links, deceptive links, or harmful files;
use the community to scrape data, harvest emails, or build outside contact lists;
pressure members into private relationships, transactions, services, or off-platform communication;
violate confidentiality expectations of group spaces.

We may remove content, issue warnings, restrict features, suspend accounts, terminate access, or ban users who violate these guidelines.

Acceptable Use Policy

You agree not to use the website or services to:

violate any law or regulation;
infringe intellectual property rights;
violate privacy or publicity rights;
upload malicious code;
attempt unauthorized access;
interfere with website operation;
scrape, crawl, harvest, or extract data without permission;
bypass access controls, payment systems, or membership restrictions;
share login credentials;
copy paid materials for unauthorized use;
resell, sublicense, redistribute, or commercially exploit our content without written permission;
submit false, misleading, fraudulent, or abusive information;
manipulate analytics, forms, signups, payments, or visitor counts;
submit spam or automated form entries;
use bots or scripts without permission;
reverse engineer, decompile, or attempt to derive source code from protected systems;
engage in conduct that harms University of Awakening, users, systems, reputation, or services.

Intellectual Property

The website and its content, including text, graphics, designs, systems, frameworks, course materials, session materials, videos, audio, logos, trademarks, service marks, trade names, layouts, downloads, plugins, forms, workflows, and other materials, are owned by University of Awakening or its licensors unless otherwise stated.

You may not copy, reproduce, distribute, modify, sell, license, publicly display, publicly perform, create derivative works from, or exploit our content without written permission.

“University of Awakening” and related names, marks, branding, logos, systems, frameworks, and trade dress may be protected by trademark, copyright, trade secret, unfair competition, or other laws, whether or not formally registered.

Limited License

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the website and purchased materials for your personal, non-commercial use, subject to these Terms.

This license ends if you violate these Terms, fail to pay, cancel access, receive a refund, or if we terminate your account.

Third-Party Services

The website may use or link to third-party services, including payment processors, analytics providers, hosting providers, plugins, email tools, video platforms, community tools, and external websites.

We are not responsible for third-party services, websites, privacy practices, terms, availability, errors, billing, security, or content.

Your use of third-party services is governed by their terms and policies.

Disclaimers

The website and services are provided “as is” and “as available.”

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, uninterrupted service, error-free operation, and results.

We do not guarantee that the website will be secure, uninterrupted, error-free, compatible, available, or free from harmful components.

Limitation of Liability

To the fullest extent permitted by law, University of Awakening and its owner, operators, officers, contractors, employees, service providers, affiliates, and representatives will not be liable for indirect, incidental, consequential, special, exemplary, punitive, lost-profit, lost-revenue, emotional-distress, data-loss, business-interruption, or similar damages.

To the fullest extent permitted by law, our total liability for any claim related to the website, services, memberships, sessions, payments, or these Terms will not exceed the amount you paid to University of Awakening for the specific service giving rise to the claim during the three months before the claim arose, or $100, whichever is greater.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless University of Awakening and its owner, operators, officers, contractors, employees, affiliates, service providers, and representatives from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees, arising from or related to:

your use of the website or services;
your User Submissions;
your violation of these Terms;
your violation of law;
your violation of another person’s rights;
your payment disputes, chargebacks, or fraudulent activity;
your misuse of private community features;
your breach of confidentiality or privacy expectations.

Termination

We may suspend, restrict, or terminate access to the website, services, memberships, groups, accounts, profiles, or content at any time if we believe you violated these Terms, failed to pay, abused the service, harmed others, created risk, or engaged in conduct we consider inappropriate.

Termination does not automatically entitle you to a refund.

Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, dispute terms, and refund terms.

Changes to Services and Terms

We may update, change, suspend, discontinue, or modify the website, services, features, content, memberships, pricing, policies, or Terms at any time.

Updated Terms will be posted on this page with a new “Last Updated” date. Your continued use after changes are posted means you accept the updated Terms to the extent permitted by law.

Governing Law

These Terms are governed by the laws of New Mexico, United States, without regard to conflict-of-law rules.

Dispute Resolution

Before filing a formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally.

If the dispute cannot be resolved informally, disputes will be handled in the courts located in New Mexico, United States, unless another process is required by applicable law.

Any claim must be brought individually and not as part of a class action, collective action, or representative action, to the extent permitted by law.
